Zhihu Continues Buyback, Repurchases 128,847 Shares; Cumulative Total Reaches 5.92 Million

Zhihu Inc. (abbrev. Zhihu) filed a Next Day Disclosure Return on 23 September 2026, confirming that its issued share capital remained unchanged at 244.79 million Class A ordinary shares as of 22 September 2026. The firm also maintains 14.86 million Class B ordinary shares, bringing total ordinary shares outstanding across both classes to 259.65 million.

On 22 September 2026, Zhihu repurchased 128,847 Class A ordinary shares on the New York Stock Exchange at prices ranging from USD 1.15 to USD 1.17, for a total consideration of USD 0.15 million. All shares repurchased are designated for cancellation.

Since the current repurchase mandate was approved on 30 June 2026, the company has bought back 5.92 million shares, representing 2.32 % of the share base on the mandate date. Of these, 5.78 million shares—acquired between 1 July and 22 September—await formal cancellation.

The mandate authorises Zhihu to repurchase up to 25.46 million shares. After the latest transaction, 19.55 million shares remain available under the authorisation.

Under Hong Kong Listing Rule 10.06(3)(a), Zhihu is subject to a 30-day moratorium on issuing new shares following the latest buyback, ending on 22 October 2026.
