Hong Kong-listed Sihuan Pharmaceutical Holdings Group Ltd. (SIHUAN PHARM) announced that its non-wholly-owned subsidiary, Xuanzhu Biopharmaceutical Co., Ltd. (02575.HK), has entered into a tri-party commercial agreement with Thailand-based Innobic (Asia) Co., Ltd. and ZaoAn International Trading Co., Ltd. covering Bireociclib Tablets in the Thai market through 30 June 2036.
Under the agreement, Xuanzhu Biopharm confers exclusive rights to Innobic (Asia) and ZaoAn International to import, promote, market, sell and distribute Bireociclib within Thailand. Innobic (Asia) will act as distributor, undertake pharmaceutical registration, and hold the marketing authorisation with the Thai Food and Drug Administration, while ZaoAn International will serve as intermediary and assume primary payment responsibilities. Xuanzhu Biopharm will supply the product at agreed prices to support commercialisation.
The contract stipulates minimum annual purchase commitments and includes licence fees payable to Xuanzhu Biopharm upon signing and again upon receipt of TFDA marketing authorisation. Innobic (Asia) and ZaoAn International bear joint and several liability for all obligations.
Management highlighted Thailand’s status as a core member of the Pharmaceutical Inspection Co-operation Scheme, adding that the collaboration is designed to expand Xuanzhu Biopharm’s presence across Southeast Asia, generate additional revenue streams for both Xuanzhu Biopharm and SIHUAN PHARM, and strengthen their respective brand profiles.
As the transaction is classified as revenue-generating in the ordinary course of business, it does not constitute a notifiable transaction under Chapter 14 of the Hong Kong Listing Rules.
Xuanzhu Biopharm, listed in 2025, focuses on innovative treatments across digestion, oncology and metabolism, supported by integrated small-molecule, biologic and AI-driven drug discovery platforms. Parent company SIHUAN PHARM, founded in 2001 and listed in 2010, operates dual pillars of medical aesthetics and biopharmaceutical businesses and maintains a broad R&D and manufacturing infrastructure.
