Tianqi Lithium Completes Board Re-election and Installs New Leadership Team

On 28 April 2026, Tianqi Lithium held an Extraordinary General Meeting (EGM) in Chengdu, finalising a comprehensive board re-election and senior management reshuffle.

The meeting covered 1.71 billion issued shares, of which 1.71 billion were eligible to vote after unlocking a portion of the 2022 Employee Stock Ownership Plan. Shareholders representing 588.28 million shares—34.48 % of voting share capital—participated in the poll. All eight resolutions on the agenda secured well above the required majorities: • Non-independent director candidates received between 96.59 % and 99.01 % support. • Independent director nominees achieved approval rates of 98.03 %–99.32 %. • Special resolutions to amend the Articles of Association and procedural rules passed with at least 99.74 % in favour.

Board Composition The seventh board session now comprises: • Executive directors – Jiang Anqi (also elected Chairlady), Jiang Weiping, and Ha Frank Chun Shing. • Independent non-executive directors – Chau Siu Lun, Li Yuedong, and Zhang Yanqing.

Committee Structure Five specialised committees were re-established—Strategy & Investment; Audit & Risk; Nomination & Governance; Remuneration & Appraisal; and ESG & Sustainable Development. All are chaired by independent directors, with terms aligned to the three-year board tenure.

Director Retirements Independent directors Xiang Chuan, Tang Guoqiong, Huang Wei, and Wu Changhua stepped down upon term expiry, confirming no disagreements with the board.

The company stated that meeting procedures complied with PRC Company Law and its Articles of Association, with vote-taking overseen by Beijing Zhong Lun Law Firm and Computershare Hong Kong Investor Services.
