CHINA EB LTD Schedules 14 May 2026 AGM; Board Proposes HK$0.05 Final Dividend and Renews Share Issue & Buy-back Mandates

China Everbright Limited (CHINA EB LTD) has issued a notice convening its Annual General Meeting (AGM) for 10:00 a.m. on Thursday, 14 May 2026 at the 38th Floor, Everbright Centre, 108 Gloucester Road, Wan Chai, Hong Kong.

Key agenda items:

1. Financial Statements and Dividend • Shareholders will consider the audited financial statements, Directors’ Report and Independent Auditor’s Report for the year ended 31 December 2025. • The board recommends a final dividend of HK$0.05 per share for FY 2025. The register of members will be closed from 22 May 2026 to 26 May 2026 (record date: 26 May 2026) to determine dividend entitlements.

2. Board Composition and Remuneration • Re-election of executive directors Mr Lin Chun, Mr An Xuesong and Dr Su Yang, and independent non-executive directors Mr Law Cheuk Kin Stephen and Dr Young Danqing Xu. • Authorisation for the board to set directors’ remuneration for the year ending 31 December 2026.

3. Auditor Reappointment • Proposal to re-appoint KPMG as external auditor with authority for the board to determine its remuneration.

4. General Mandates • Issuance Mandate: Directors may allot and issue new shares up to 20% of the company’s issued share capital (excluding treasury shares) during the mandate period, with an extension for shares repurchased under the buy-back mandate. • Buy-back Mandate: Authority to repurchase up to 10% of issued shares (excluding treasury shares) on the Hong Kong Stock Exchange or other recognised exchanges.

5. Articles of Association • Shareholders will vote on amendments to, and full adoption of, a new set of articles of association to replace the existing version.

Administrative details:

• Shareholders must be on the register of members by 11 May 2026 to attend and vote at the AGM; the register will be closed from 11 May 2026 to 14 May 2026. • Proxy forms and related authorisations must be lodged with Tricor Investor Services Limited at 17/F, Far East Finance Centre, 16 Harcourt Road, Hong Kong no later than 48 hours before the meeting. • Share transfers for dividend entitlement must be registered by 4:30 p.m. on 21 May 2026.

The board currently comprises four executive directors—Mr Lin Chun (Chairman), Mr Pan Jianyun, Mr An Xuesong and Dr Su Yang—and four independent non-executive directors—Dr Lin Zhijun, Mr Law Cheuk Kin Stephen, Mr Wong Chun Sek Edmund and Dr Young Danqing Xu.
