Guangzhou Automobile Group Co., Ltd. (GAC Group) has issued a notice convening its 2025 Annual General Meeting (AGM) for 10:00 a.m. on Friday, 12 June 2026, at Conference Room 102, Building T2, No. 668 Jinshan Road East, Panyu District, Guangzhou.

Key items for shareholder approval:

1. 2025 Performance Review • Adoption of the 2025 annual report and summary, the board of directors’ work report, and the 2025 financial report.

2. Capital Allocation • Proposal for 2025 profit distribution to shareholders (details to be provided in the AGM circular).

3. Auditor Engagements for 2026 • Appointment of external auditors and separate appointment of internal control auditors for the next financial year.

4. Related-Party Transactions • Ratification of continuing related-party transactions related to the group’s financial services operations.

5. Funding Flexibility • Special resolution seeking a general mandate authorising the board to issue debt-financing instruments.

6. Treasury Management • Approval to conduct forward foreign-exchange transactions, aimed at managing currency exposure.

7. Governance and Compensation • Adoption of Remuneration Management Rules for directors and senior management. • By-election of Mr. Cao Xiaojun as a non-executive director. • Election of four independent non-executive directors: Mr. Yang Diange, Mr. Zhang Yanlong, Mr. Zhu Zhengfu and Mr. Li Wenjing. • Cumulative voting will apply separately to the non-executive and independent non-executive director elections.

Administrative details:

• Voting will be conducted by poll in accordance with Hong Kong Listing Rules. • H-shareholders must be on the register by 4:30 p.m. on 8 June 2026 to qualify for attendance and voting. • Proxy forms, together with required authorisations, must reach Tricor Investor Services Limited by 10:00 a.m. on 11 June 2026.
