Esprit Holdings Reports No Share Capital Changes in June; Confirms Public Float Compliance

Esprit Holdings (Esprit) has filed its Monthly Return for the period ended 30 June 2026, confirming that both authorised and issued share capital remained unchanged during the month.

• Authorised share capital: 30.00 billion ordinary shares with a par value of HKD 0.10 each, representing authorised capital of HKD 3.00 billion. No increase or decrease was recorded.

• Issued shares: 283.08 million ordinary shares outstanding, with zero treasury shares. The company reported no new share issues, cancellations, repurchases or transfers in June, leaving total issued shares unchanged at 283.08 million.

• Public float: Esprit affirmed compliance with the Main Board’s minimum public float requirement of 25 percent of issued shares.

• Share option schemes: – 2009 Share Option Scheme – 510,119 options outstanding, with the same number of shares available for issuance. – 2018 Share Option Scheme – 136,733 options outstanding and 28.31 million additional shares that may be issued upon future option grants or exercises. No share options were exercised and no funds were raised during the month.

• Capital instruments: The company reported no outstanding warrants, convertible securities, or other equity-linked instruments, and no other movements in treasury shares.

The filing was authorised by Company Secretary Man Wai Chuen and submitted to the Hong Kong Exchanges and Clearing Limited on 2 July 2026.
