Tsingtao Brewery Independent Director Rania Zhang Announces Resignation, Will Serve Until Successor Appointed

On 20 May 2026, Tsingtao Brewery Company Limited received the resignation report of Independent Non-executive Director Rania Zhang. Citing personal work commitments, Zhang plans to step down from multiple positions: Independent Non-executive Director of the 11th Board, Chair of the Audit & Internal Control Committee, and member of both the Nomination & Remuneration Committee and the Strategy & Investment Committee.

The departure creates vacancies for both the Audit & Internal Control Committee chairmanship and the Board’s required independent director with accounting expertise. In compliance with the Company Law of the People’s Republic of China and the Articles of Association, Zhang will continue performing her duties until a qualified successor is elected at the forthcoming annual general meeting and formally assumes office.

Zhang confirmed she has no disagreements with the Board and no additional matters requiring shareholder attention. The Board expressed gratitude for her contributions during her tenure.

Executive Director and Company Secretary Hou Qiu Yan issued the announcement in Qingdao on 20 May 2026. As of the same date, the Board comprises Chairman Jiang Zong Xiang, Executive Directors Liu Fu Hua and Hou Qiu Yan, Employee Director Sun Jing, and Independent Non-executive Directors Xiao Geng, Rania Zhang, Zhao Chang Wen and Zhao Hong.
