RS Macalline Schedules 2025 AGM on 22 June 2026; Six Key Resolutions to Be Voted

Red Star Macalline Group Corporation Ltd. (RS Macalline) has issued the proxy form for its 2025 Annual General Meeting, confirming that the session will convene at 14:30 on 22 June 2026 at the Conference Center, 3/F, South Building, Block B, Macalline Global Center, Minhang District, Shanghai. Shareholders may appoint the meeting chair or another proxy to vote on their behalf, and proxy documents must reach Computershare Hong Kong Investor Services Limited at least 24 hours before the meeting.

Six ordinary resolutions will be tabled:

1. Board Work Report 2025 – Shareholders will review RS Macalline’s management and operational performance for the year.

2. 2025 Profit Distribution Plan – The AGM will decide on the proposed allocation of 2025 profits, including any dividends.

3. Directors & Senior Management Remuneration System – A formal remuneration framework for the Company’s leadership is up for approval.

4. Directors’ Remuneration – Confirmation of 2025 payouts and the remuneration plan for 2026.

5. Auditor Re-appointment – Renewal of the mandates for the Company’s financial statement and internal control auditors for 2026.

6. Borrowings and Connected Transactions – Approval of the Loan Framework Agreement covering borrowings and ongoing connected transactions with substantial shareholders, alongside corresponding annual caps.

Shareholders who attend in person or by proxy must present valid identification. Completion of the proxy form does not preclude personal attendance and voting rights at the AGM.
