OmniVision Completes RMB 191.96 Million Buyback, Boosts Treasury Stock to 12.67 Million Shares

OmniVision Integrated Circuits Group, Inc. (OmniVision) reported several capital-structure moves dated 01 July 2026, combining a routine stock-option exercise with a sizeable on-market repurchase on the Shanghai Stock Exchange.

• Repurchase highlights – Shares bought: 1,956,205 A-shares (treasury) – Price range: RMB 94.72 – 98.99 per share, volume-weighted average about RMB 98.14 – Cash outlay: RMB 191.96 million – Impact: Repurchased stock equals 0.16 % of the 1.20 billion shares outstanding before the transaction. All repurchased shares are being held as treasury shares; none were cancelled.

• Option exercise activity – Shares issued: 2,640 under the 2023 First Phase Stock Option Incentive Plan and 1,050 under the 2023 Second Phase Plan – Exercise price: RMB 77.91 per share for both tranches – Dilution: Combined issuance of 3,690 shares is immaterial, representing less than 0.001 % of pre-transaction share capital.

• Resulting share capital position – Issued shares (excluding treasury) decreased to 1,198,011,718 from 1,199,964,233 – Treasury share balance rose to 12,671,368, reflecting the new buyback minus transfers for option exercises – Total issued shares remain essentially unchanged at 1,210,683,086.

The company confirms that all actions were authorised by the board and executed in accordance with listing rules on the Hong Kong Stock Exchange and domestic regulations governing the Shanghai Stock Exchange. OmniVision’s stock-option incentive plans, adopted in 2023 and 2025, continue to be the primary source of negligible new-share issuance, while the latest repurchase underscores ongoing capital-management efforts.
