Jiangsu Horizon Chain Supermarket Company Limited will convene its annual general meeting (AGM) on 2 June 2026 at 9:30 a.m. in Jiangdu District, Yangzhou, Jiangsu Province. Shareholders will deliberate eight resolutions that frame the company’s governance and capital-management agenda for the coming year.

Key ordinary resolutions 1. 2025 operating review: The Board is seeking shareholder endorsement of its 2025 report, the audited consolidated financial statements and the full annual report. 2. Profit distribution: A proposal on the 2025 dividend is tabled for approval; details will be implemented once sanctioned. 3. External auditor: The Board recommends re-appointing KPMG for the 2026 financial year and authorising directors to negotiate remuneration. 4. Use of funds: Management requests consent to revise the allocation of previously unutilised net proceeds.

Special resolutions on capital authorisations • General mandate to issue shares: Directors seek authority to allot and issue additional Domestic Shares and H Shares within regulatory limits. • General mandate to repurchase shares: A parallel mandate would permit buy-backs of both classes of shares up to the authorised ceiling.

Administrative details • Shareholders recorded as members from 28 May to 2 June 2026 (both dates inclusive) are eligible to attend and vote. • Proxy voting forms must reach Computershare Hong Kong Investor Services by 9:30 a.m. on 1 June 2026, 24 hours before the meeting. • All resolutions will be decided by poll in accordance with Hong Kong Listing Rules, and results will be disclosed on the HKEX and company websites.

The AGM is expected to conclude within half a day; participants will bear their own travel and accommodation costs.
