Playmates Toys Executes Further Buybacks; 1.19 Million Shares Await Cancellation

Playmates Toys Limited submitted a Next Day Disclosure Return to the Hong Kong Stock Exchange on 24 August 2026, confirming additional share repurchases under its existing mandate.

Key transaction on 24 August 2026 • 16,000 ordinary shares were repurchased on-market at HKD 0.435 each, for a cash outlay of HKD 6,960.

Cumulative repurchases still pending cancellation • Between 2 July and 24 August 2026, the company bought back 1,188,000 shares, equivalent to 0.10 % of the 1.14 billion shares outstanding as at 31 July 2026. • Aggregate consideration for these repurchases amounts to approximately HKD 0.57 million, translating into a volume-weighted average price of HKD 0.48 per share. • All repurchased shares are earmarked for cancellation; none will be held as treasury shares.

Capital structure • Issued share capital stood at 1,136,172,000 ordinary shares both before and after the latest repurchase because the bought-back shares had not yet been cancelled as of the reporting date.

Repurchase mandate utilisation • Shareholders authorised the company on 22 May 2026 to repurchase up to 117.03 million shares. • Including the latest transactions, 22.86 million shares have been acquired, representing 1.95 % of the share base on the mandate date. • Approximately 94.16 million shares remain available for buyback under the current authority.

Regulatory note • In accordance with Main Board Rule 10.06(3)(a), Playmates Toys is subject to a moratorium on issuing new shares or transferring treasury shares until 23 September 2026.
