China Vanke Announces Resignation of Independent Director Zhang Yichen After Six-Year Tenure

China Vanke Co., Ltd. disclosed that independent non-executive director Zhang Yichen has stepped down effective 30 June 2026, coinciding with the completion of the regulatory maximum six-year term that began on 30 June 2020. Zhang has also relinquished his seat on the Board’s Investment and Decision-making Committee and all other related roles.

The departing director confirmed the absence of any disagreements with the Board and stated that no matters require further attention from shareholders, creditors, or the Hong Kong and Shenzhen stock exchanges. The Board acknowledged Zhang’s “positive contributions to the standardised operation and healthy development” of the company and expressed formal appreciation for his service.

To maintain compliance with both PRC corporate law and Hong Kong listing rules, China Vanke will nominate a new independent non-executive director at the next Board election, ensuring the Board’s structure remains fully aligned with regulatory requirements. As of the announcement date, the Board consists of three non-executive directors (Huang Liping, Hu Guobin, Lei Jiangsong), one executive director (Wang Yun), and three independent non-executive directors (Liu Tsz Bun Bennett, Lim Ming Yan, Shum Heung Yeung Harry).
