JD Logistics (the “Company”) announced that every motion tabled at the Annual General Meeting (AGM) on 29 June 2026 cleared the requisite 50% threshold, underscoring broad shareholder confidence in the management team and strategic direction.
Voting Base and Quorum • Issued share capital at the meeting date: 6.68 billion shares. • Shares pending cancellation: 51.99 million. • Shares held by scheme trustees (abstained): 344.45 million. • Shares entitled to vote: 6.28 billion. Computershare Hong Kong Investor Services Limited acted as the independent scrutineer.
Key Voting Results 1. 2025 Financial Statements: Adopted with 99.95% of the 5.01 billion votes cast in favour.
2. Board Composition – Executive Director Zhenhui Wang re-elected with 99.62% support. – Independent Non-Executive Directors Nora Gu Yi Wu, Laura J. Peterson and Lin Ye each secured at least 99.78% backing. – Independent Non-Executive Director Yi Hoi Tang re-elected with 94.76% support, the lowest margin of the meeting yet well above the simple-majority requirement.
