Pharmaron: August 2026 Share Capital Steady, Public Float Above HKEX Threshold

Pharmaron Beijing Co., Ltd. (Pharmaron; HKEX: 03759) reported no changes in its authorised or issued share capital for the month ended 31 August 2026, according to its latest Monthly Return filed with Hong Kong Exchanges and Clearing Limited.

Authorised / Registered Capital • H-share authorisation remained at 359.98 million shares with a par value of RMB 1 each, representing authorised capital of RMB 359.98 million. • A-share authorisation stood unchanged at 1.48 billion shares (par value RMB 1), equivalent to RMB 1.48 billion. • Combined authorised capital therefore stayed at RMB 1.84 billion.

Issued and Treasury Shares • Issued H shares (excluding treasury) were steady at 358.11 million, while treasury H shares were unchanged at 1.87 million. • Issued A shares totalled 1.48 billion, with no treasury stock held. • No new shares were issued, cancelled or repurchased across either share class during August.

Employee Incentive Schemes • The 2022 Restricted A Share Incentive Scheme saw 22,389 restricted shares lapse, reducing potential issuances under the plan to 659,763 shares. • The 2023 A Share Incentive Scheme recorded 489,197 lapsed restricted shares, leaving 421,749 shares available for future issuance. • Under the 2025 H Share Award and Trust Scheme, Pharmaron continues to hold 1.87 million treasury H shares earmarked for employee awards; no transfers occurred in August.

Public Float Compliance Pharmaron confirmed that its listed H-share class meets the Hong Kong Main Board’s minimum public float requirement of 5% of the total issued H shares (excluding treasury stock) as at 31 August 2026.

No share options, warrants, or convertible securities were outstanding or exercised during the reporting period, and no other corporate actions affecting share capital were recorded.
