SF Holding Cancels 160.16 Million Repurchased A-Shares, Shrinking Capital Base by 3.04%

SF Holding Co., Ltd. announced that 160.16 million previously repurchased A-shares have been officially cancelled, reducing the company’s total share count by 3.04%. After the cancellation, effective 18 September 2026, total outstanding shares fall to 5.11 billion from 5.27 billion.

The cancelled shares were bought between 3 September 2025 and 21 July 2026 at prices ranging from RMB 33.50 to RMB 42.23 per share, with an average cost of RMB 37.46. Aggregate outlay for the buyback reached approximately RMB 6.00 billion, the upper end of the RMB 3 billion–RMB 6 billion budget approved by the board.

Following the capital reduction, the equity stake of controlling shareholder Shenzhen Mingde Holdings Development Co., Ltd. and its concert-party Shenzhen Weishun Enterprise Management Co., Ltd. has passively increased to 48.22% from 46.76%.

SF Holding plans to amend its articles of association to reflect the lower registered capital and will complete the requisite industrial and commercial registration changes in accordance with PRC regulations.
