Hang Lung Properties Issues Offering Circular for US$4.00 Billion MTN Programme

HLP Finance Limited, a wholly owned subsidiary of Hang Lung Properties, has released the offering circular for its US$4.00 billion Medium Term Note Programme, which is unconditionally and irrevocably guaranteed by Hang Lung Properties.

The notes, to be issued in bearer or registered form, may be listed on the Hong Kong Stock Exchange and are intended solely for professional investors. The programme allows multiple tranches and tenors, with an aggregate outstanding cap of US$4.00 billion or its equivalent in other currencies.

The Hongkong and Shanghai Banking Corporation Limited acts as arranger, fiscal agent, paying agent, transfer agent, CMU lodging agent and registrar. A consortium of international banks, including ANZ, Bank of China (Hong Kong), BNP Paribas, CICC, Citigroup, CLSA, Crédit Agricole CIB, DBS, Deutsche Bank, Goldman Sachs, HSBC, Mizuho, MUFG, OCBC, Standard Chartered, UBS and UOB, has been appointed as dealers.

Proceeds from each issuance will be on-lent to Hang Lung Properties and/or its subsidiaries for general corporate purposes. The notes and the guarantee rank as direct, unconditional, unsubordinated and unsecured obligations of the issuer and the guarantor respectively.

The offering circular confirms that no public offer will be made in Hong Kong, the United States or any other jurisdiction, and the securities have not been, and will not be, registered under the U.S. Securities Act of 1933.

Hang Lung Properties states that the programme has been, and any notes to be listed will be, admitted to the Hong Kong Stock Exchange under Chapter 37, with the Hong Kong listing effective for a 12-month period from the circular’s date. The company reiterates that the notes are not appropriate for retail investors in Hong Kong and highlights the associated professional-investor–only restrictions.

The offering circular is dated 8 April 2026, and the related announcement was issued in Hong Kong on 9 April 2026.
