Guangdong CHJ Industry (002345.SZ) Faces Additional Disclosure Requests from CSRC Ahead of Hong Kong IPO

On November 7, China Securities Regulatory Commission (CSRC) released supplementary material requirements for overseas listings (November 3–7, 2025). The CSRC's international department disclosed additional disclosure requests for 13 companies, including Guangdong CHJ Industry Co., Ltd. (002345.SZ), which was asked to provide details on pending litigation and its latest developments.

According to Hong Kong Exchange filings on September 12, Guangdong CHJ Industry had submitted a listing application for the Hong Kong main board, with CITIC Securities acting as the sole sponsor. The CSRC requested CHJ to supplement the following information, with legal verification required:

1. Clarify whether pledged shares held by controlling shareholders or concerted parties would materially impact the listing. 2. Disclose whether the company or subsidiaries operate websites, mini-programs, apps, or official accounts, including details on personal data collection/storage/processing via authorized flagship stores, third-party platforms, or e-commerce services. Specify any third-party data sharing arrangements and security measures. 3. Provide a full list of subsidiaries and branches per regulatory guidelines, currently only partial disclosures were made. 4. Elaborate on pending litigation’s specifics, progress, and potential operational/listing impacts, ensuring full disclosure. 5. Confirm compliance with overseas listing prohibitions under domestic regulations. 6. Submit a detailed fundraising plan covering: - Estimated capital size and calculation methodology; - Usage breakdown (domestic/overseas ratios, excluding real estate); - Compliance with State Council directives and approval procedures.

According to its prospectus, CHJ launched its flagship jewelry brand in 1997 and has since become a leader in China’s "national trend" innovation, commercializing traditional craftsmanship like filigree art. In 2023, it was Forbes’ sole Chinese jewelry brand recognized as an "Innovative National Trend Brand," driven by its "culture + design" strategy to redefine jewelry aesthetics.
