Phancy Group Co., Ltd. (PHANCY) disclosed that its extraordinary general meeting (EGM) held on 23 July 2026 approved the sole agenda item—confirmation of related-party transactions conducted from 1 January 2023 to 31 March 2026—by an overwhelming majority.
A total of 74.92 million votes were cast, representing 19.79% of the 378.71 million shares entitled to vote. Support for the resolution reached 96.2049% (72.08 million votes), while 0.0027% (2,000 votes) opposed and 3.79% (2.84 million votes) abstained.
Abstentions mandated by listing rules reduced the voting base. Founder Dr. Dai Wenyuan and three affiliated partnerships, collectively holding 177.21 million shares, together with the H-share RSU scheme trustee holding 1.12 million shares, did not vote. In addition, 1.26 million H-shares held in treasury were non-voting.
As of the meeting date, PHANCY had 558.29 million shares outstanding, comprising 359.42 million H-shares and 198.87 million unlisted shares.
All board directors participated in the meeting in person or electronically, and Tricor Investor Services Limited acted as scrutineer. The ordinary resolution is now effective, formalizing the previously disclosed related-party transactions for the specified period.
