Times China adds 3.31 million shares in July 2026 on partial MCB conversion

Times China Holdings Limited released its Monthly Return for July 2026, detailing a modest expansion of its issued share base driven entirely by conversions of its outstanding mandatory convertible bonds (MCBs).

Key developments for the month ended 31 July 2026:

1. Share capital structure • Authorised share capital remained unchanged at 10.00 billion ordinary shares with a par value of HKD 0.10, equivalent to HKD 1.00 billion. • Issued share count rose by 3.31 million shares, or approximately 0.11%, to 2.99 billion shares. The company continues to hold no treasury shares.

2. Source of new shares • All new shares resulted from conversions of the zero-coupon Mandatory Convertible Bonds issued on 28 November 2025: – MCB I (subscription price: HKD 6): USD 2.13 million of principal converted, generating 2.77 million new shares. Outstanding principal after conversion stands at USD 711.90 million, with a further 925.47 million shares still issuable upon full conversion. – MCB II (subscription price: HKD 10): USD 0.70 million of principal converted, adding 0.54 million new shares. Remaining principal totals USD 222.93 million, corresponding to 173.88 million shares still convertible.

3. Public float The company confirmed compliance with the Main Board’s minimum public-float requirement of 25% as at 31 July 2026.

No movements were recorded under share option schemes, warrants, other equity-linked instruments, or treasury share transactions during the month.
