Manycore Tech Schedules 18 June 2026 AGM; Board Re-elections, Auditor Renewal and Share Mandates on Agenda

Manycore Tech Inc. has released the formal proxy circular for its Annual General Meeting, set for 11:30 a.m. on Thursday, 18 June 2026, at the company’s Hangzhou headquarters (Conference Room, 12/F, Building 2, Matrix International, 515 Yuhangtang Road, Gongshu District).

Key resolutions to be tabled:

1. Board composition • Re-election of nine directors: executives Huang Xiaohuang, Chen Hang, Zhu Hao and Shen Bei; non-executives Foo Ji-xun and Tan Zhiqian; independent non-executives Chen Lianqing, Ge Ke and Yeung Kwok On. • Authorisation for the board to determine directors’ remuneration.

2. Auditor • Proposal to re-appoint KPMG as external auditor and authorise the board to fix audit fees.

3. Capital management mandates • Share repurchase mandate of up to 10% of the company’s issued share capital (excluding treasury shares) as at the AGM date. • Issuance mandate authorising the board to allot, issue or transfer treasury shares representing up to 20% of issued share capital. • Extension of the issuance mandate by the number of shares actually repurchased under the buy-back authority.

Shareholders intending to vote by proxy must lodge completed forms with Computershare Hong Kong Investor Services Limited by 11:30 a.m. on 16 June 2026 (Hong Kong time). Attendance and voting in person remain available to registered shareholders despite prior proxy submission.
