Xinte Energy disclosed that Independent Non-Executive Director (INED) Chen Weiping will step down for personal health reasons. The resignation will take effect upon the election of a new INED at the 2025 annual general meeting (AGM). Until that date, Chen will continue to serve on the Audit, Strategy, Nomination, and Remuneration & Assessment Committees. The departing director confirmed no disagreements with the Board and no matters requiring further shareholder attention.
The Board has nominated Johnny Kin On Sin, aged 68, as a candidate for INED and member of the same four Board committees. Sin holds a PhD, is a professor, and currently leads Ningbo JSAB Semiconductors Company Limited as chairman and general manager. Prior roles include senior researcher at Philips Laboratories (1988-1991) and multiple directorships at the Hong Kong University of Science and Technology’s semiconductor centers. Recognised for extensive power-semiconductor research, Sin became an IEEE Fellow in 2012, chaired the International Symposium on Power Semiconductor Devices and ICs in 2015, and entered its “Global Hall of Fame” in 2020.
The nominee has confirmed full independence under Rule 3.13 of the Hong Kong Listing Rules, holds no shares in Xinte Energy, and maintains no connections with existing Directors, senior management, or major shareholders. Subject to shareholder approval at the forthcoming AGM, Xinte Energy will execute a service contract with Sin covering the remainder of the Board’s fifth session; director allowances will be set under the 2026 remuneration plan.
As of 24 April 2026, the Board comprises three executive directors (Huang Hanjie, Nan Xinjian, Huang Fen), three non-executive directors (Zhang Xin, Yang Xiaodong, Hu Youcheng) and three INEDs (Cui Xiang, Chen Weiping, Tam Kwok Ming Banny).
