CN Culture GP Schedules 4 Sept 2026 AGM, Proposes 20% Issuance Mandate and 10% Share Buy-back Authority

China National Culture Group Limited (CN Culture GP) will convene its annual general meeting on 4 September 2026 at 11:00 a.m. in Hong Kong (Portion 2, 12/F., The Center, 99 Queen’s Road Central).

Key resolutions to be tabled include:

1. Financial Statements and Reports • Shareholders will review the audited consolidated financial statements and the reports of the directors and auditors for the financial year ended 31 March 2026.

2. Board and Auditor Matters • Re-election of directors with authority for the board to determine individual remuneration. • Re-appointment of the Company’s auditors and authorization for the board to set their fees.

3. General Mandates • Issue Mandate: Directors seek authority to allot and issue new shares up to 20% of the Company’s issued share capital as at the date of the AGM. • Repurchase Mandate: Authorization for on-market repurchases of up to 10% of issued shares during the mandate period. • Mandate Extension: Conditional extension allowing the issue mandate to be increased by the number of shares repurchased, capped at an additional 10% of issued capital.

4. Key Administrative Details • Shareholders registered by 4:30 p.m. on 28 August 2026 will be eligible to attend and vote; the register of members will be closed from 31 August to 4 September 2026 (both days inclusive). • Proxy forms must be lodged with Tricor Investor Services Limited at least 48 hours before the meeting.

Board Composition (as at 31 July 2026): Executive Directors – Sun Wei (also acting as company secretary), Wang Shidi, Man Qiaozhen; Independent Non-Executive Directors – Liu Kwong Sang, Wang Miaojun, Wang Yujie.

The board notes that there are no immediate plans to issue new shares under the proposed mandates.
