Grown Up Group Proposes 10-for-1 Share Consolidation; Calls Extraordinary General Meeting for 26 October 2026

Bulletin Express10-07

Grown Up Group Investment Holdings Limited has scheduled an Extraordinary General Meeting (EGM) for 10:00 a.m. on 26 October 2026 at its Tai Po, Hong Kong headquarters to seek shareholder approval for a 10-to-1 share consolidation.

The board is asking shareholders to endorse the consolidation of every ten issued and unissued ordinary shares of HK$0.01 par value into one Consolidated Share of HK$0.10 par value. Upon completion, the company’s authorised share capital will remain unchanged at HK$100.00 million but will be re-denominated into 1.00 billion Consolidated Shares.

Implementation is conditional on the Listing Committee of The Stock Exchange of Hong Kong Limited granting approval for the listing of, and permission to deal in, the Consolidated Shares. If approved, the consolidation will take effect on the second business day after the resolution is passed.

Fractional Consolidated Shares arising from the exercise will not be issued; instead, they will be aggregated and, where practicable, sold for the company’s benefit.

Shareholders recorded in the register by 4:30 p.m. on 20 October 2026 will be eligible to attend and vote. The register will be closed from 21 October to 26 October 2026, inclusive. Proxy forms must reach Tricor Investor Services Limited by 10:00 a.m. on 24 October 2026.

The company’s board currently comprises two executive directors—Chairman Thomas Berg and Jan Ankersen—and three independent non-executive directors: Yip Hiu Tung, Wong Kai Hing and Chan Ting Leuk Arthur.
