Scholar Education acquires 1.05 million shares for award scheme, lifts trust holding to 5.80%

Scholar Education Group disclosed that the trustee of its share award scheme purchased 1.05 million shares on 10 July 2026 through on-market transactions. The shares, bought at an average price of HK$1.00 each, represent approximately 0.155% of the company’s issued share capital and involved a consideration of about HK$1.05 million, excluding transaction costs.

Following the transaction, the trustee’s aggregate holding increased to 39.05 million shares, equivalent to 5.80% of total issued shares.

The board stated that the current market price materially undervalues the group’s intrinsic worth and views the purchase as an opportunity to secure shares for future distribution to selected participants under the scheme. Management will continue to track market conditions and may instruct further purchases when deemed appropriate, while determining vesting conditions at its discretion.
