Chongqing Iron & Steel Company Limited (abbreviation: 重钢股份公司) has released a revised version of its Articles of Association, which officially took effect on 26 November 2025. The updated document outlines the company’s governance framework, focusing on share capital, rights of shareholders, board structure, and profit distribution policies.
The Articles specify that the company’s registered capital amounts to RMB 8,851,763,767, divided into 8,851,763,767 ordinary shares. Of these, 93.92% are domestic-listed RMB ordinary shares, while the remaining 6.08% are foreign-listed shares. The revision clarifies the general meeting procedures and shareholders’ voting rights, emphasizing that major transactions, including capital changes and merger proposals, require special resolutions backed by at least two-thirds of the voting rights at the meeting.
The composition of the Board remains nine directors, including one representative of employees, with each director serving a three-year term. The updated text reaffirms the duties of the Board—such as financial oversight, profit distribution planning, and Directors’ accountability—and addresses the role of independent directors and the Party Committee. The Articles also reinforce the internal audit requirements and the responsibilities of the audit and risk committee in overseeing financial reporting and corporate compliance.
The revised version reiterates the company’s profit distribution guidelines, stipulating the steps for allocating statutory reserves and providing a framework for approving dividends. It also sets out procedures for corporate actions like registered capital adjustments, share repurchases, and dissolution or liquidation scenarios. Lastly, it reiterates that official notices to shareholders shall be published in designated media as required and highlights that the operating procedures of the Board, general meeting, and management are governed by these revised Articles.
