CR Power AGM: All Resolutions Secure Overwhelming Support; HK$0.771 Final Dividend Approved

China Resources Power Holdings Company Limited (CR Power) announced that every resolution tabled at its Annual General Meeting on 5 June 2026 was passed by substantial majorities.

Dividend Distribution • Shareholders endorsed a final dividend of HK$0.771 per share for the year ended 31 December 2025, with 3.31 billion votes in favour and just 0.01 million against (99.9997% approval).

Financial Statements and Auditor • The 2025 audited financial statements, directors’ report, and independent auditor’s report were adopted with 3.31 billion votes supporting (99.87%). • Deloitte Touche Tohmatsu was re-appointed as external auditor; the motion drew 3.20 billion votes in favour (96.51%).

Board Composition and Remuneration • Re-elections: – Song Kui received 3.10 billion votes (93.64%). – Hou Yongjie secured 3.31 billion votes (99.81%). – Man Wing Yee, Ginny garnered 3.28 billion votes (99.16%). • Directors’ remuneration mandate passed with 3.31 billion votes (99.94%).

Share Mandates • Share buy-back mandate: 3.31 billion votes for (99.996%). • General mandate to issue new shares: 3.12 billion votes for (94.11%). • Extension of the issue mandate: 3.14 billion votes for (94.86%).

Capital Structure and Voting Base As of the meeting date, CR Power had 5.18 billion issued shares, all entitled to vote. No treasury shares were held, and no share classes were subject to voting restrictions. Computershare Hong Kong Investor Services Limited acted as scrutineer.

Attendance All directors, with the exception of Wang Bo and Man Wing Yee, Ginny, attended the AGM either in person or electronically.
