Qunabox Group Sets 22 May 2026 AGM; Board Seeks Fresh Share Issue and Buy-back Mandates

Qunabox Group Limited will convene its 2026 annual general meeting (AGM) on 22 May 2026 at 10:00 a.m. in Shanghai’s Wentong International Plaza. Shareholders will vote on the following key matters:

• 2025 Financial Statements: Adoption of the audited consolidated results for the year ended 31 December 2025 together with the directors’ and auditor’s reports.

• Board Composition: – Re-election of executive director Mr. Huang Aihua, non-executive director Mr. Dai Jianchun and independent non-executive director Dr. Yang Bo. – Appointment of Mr. Qian Jun as a new executive director. – Authorisation for the board to determine directors’ remuneration.

• Auditor Appointment: Engagement of Zhonghui Anda CPA Limited as external auditor with authority for the board to set its fee.

• Capital Mandates: – General mandate permitting the board to allot and issue new shares or convertible securities up to 20% of the company’s issued share capital (excluding treasury shares). – Share buy-back mandate authorising repurchases of up to 10% of issued shares (excluding treasury shares). – Extension of the issue mandate by the number of shares repurchased, effectively allowing an additional allotment capacity of up to 10%.

• Constitutional Update: Adoption of a fifth amended and restated memorandum and articles of association that consolidates all proposed amendments.

Administrative details include a share register closure from 19 May to 22 May 2026 (both days inclusive) to determine shareholder eligibility. Proxy forms must reach Computershare Hong Kong Investor Services by 10:00 a.m. on 20 May 2026. All resolutions will be decided by poll in accordance with Hong Kong listing rules.

As of the notice date, the board comprises Chairwoman and CEO Ms. Yin Juehui, executive director Mr. Huang Aihua, non-executive director Mr. Dai Jianchun, and independent non-executive directors Dr. Che Lufeng, Mr. Zhu Lin and Dr. Yang Bo.
