Hong Kong, 1 September 2026 — Swire Pacific Limited (stock code: 00087; “Swire Pacific”) has initiated steps toward a potential Accelerated Exchange Trade involving its HK$4.70 billion zero-coupon exchangeable bonds due 2027 (the “Bonds”) issued by wholly owned subsidiary Swire Pacific Finance.

1. Bond Repurchase Proposal • Under Condition 8(f) (Purchase) of the bond terms, Swire Pacific, as guarantor, may repurchase Bonds in the market at any price. • The company has mandated J.P. Morgan Securities (Asia Pacific) Limited, Morgan Stanley & Co. International plc and The Hongkong and Shanghai Banking Corporation Limited as Joint Dealer Managers to canvass indications of interest from holders located outside the United States (“Eligible Bondholders”) willing to sell their Bonds.

2. Concurrent Share Placement • If sufficient interest emerges, Swire Pacific plans a simultaneous placement of certain Cathay Pacific Airways shares through the Joint Dealer Managers to independent third parties, potentially including Eligible Bondholders. • The combined Bond Repurchase and Share Placement constitute the “Accelerated Exchange Trade,” designed to replicate an early exchange of the Bonds into Cathay Pacific shares without increasing Swire Pacific’s envisaged divestment of its Cathay Pacific stake beyond levels implicit in the original bond terms.

3. Potential Full Redemption Trigger • Should 90% or more of the Bonds’ principal be exchanged or repurchased and cancelled under the Accelerated Exchange Trade, Swire Pacific Finance may exercise its option to redeem any remaining Bonds at par value, in line with the bond conditions.

4.
