HSC Resources Group Limited (1850) Announces Extraordinary General Meeting Following Shareholder Requisition

HSC Resources Group Limited (Stock Code: 1850) has scheduled an extraordinary general meeting (EGM) for 21 November 2025 at 3:00 p.m. in Hong Kong. The meeting follows a requisition submitted by a shareholder, who holds approximately 10.42% of the company’s issued share capital. The shareholder proposes removing certain current directors and appointing new ones.

The resolutions include the removal of specified executive and independent non-executive directors, as well as any director appointed between issuance of the requisition notice on 27 October 2025 and the EGM date (other than those set for appointment at the EGM). The requisition also names three candidates for the board, comprising one executive director (Wang Le) and two independent non-executive directors (Ye Liping and Li Fang). No reasons for these proposed changes were disclosed in the requisition notice.

The company notes that any members entitled to vote may do so in person or by proxy, and a proxy form should be submitted 48 hours before the meeting. Shareholders seeking to attend or vote are advised to review the relevant instructions in the circular and observe the 17 November 2025 cut-off for share transfers to be recognized on the register of members.
