Century Ginwa Schedules 26 June 2026 AGM; Board Re-elections, Auditor Appointments and Share Mandates on Agenda

Century Ginwa Retail Holdings Limited will convene its annual general meeting on 26 June 2026 at 3:00 p.m. in Room 302, 3/F, Pico Tower, Wan Chai, Hong Kong. Shareholders are asked to vote on six ordinary resolutions:

1. Approval of the audited financial statements, directors’ report and independent auditor’s report for the financial year ended 31 December 2025.

2. Board composition • Re-election of four directors: Mr. Ma Wenzhong, Ms. Wan Qing, Mr. Ruan Xiaofeng and Ms. Song Hong. • Authorisation for the board to determine directors’ remuneration.

3. Auditor appointments • Re-appointment of McMillan Woods (Hong Kong) CPA Limited as overseas auditor and WUYIGE Certified Public Accountants LLP as domestic auditor. • Authorisation for the board to set audit fees.

4. General share mandates • Granting directors authority to issue, allot and deal with additional shares. • Granting authority to repurchase the company’s own shares. • Extension of the share-issuance mandate by an amount equivalent to shares repurchased under the buy-back mandate.

Shareholders of record may attend the AGM in person or submit proxy forms to Tricor Investor Services Limited no later than 48 hours before the meeting (24 hours before any subsequent poll). Proxy holders are empowered to vote at their discretion if specific instructions are not provided.
