China Frontier Technology Sets 29 June 2026 AGM: Financial Statement Approval, Board Re-elections and 10% Buy-back & 20% Issuance Mandates

China Frontier Technology Group will convene its Annual General Meeting on 29 June 2026 at 2:00 p.m. in Hong Kong (Room 3302, 33/F, West Tower, Shun Tak Centre, 200 Connaught Road Central). Key items on the agenda are as follows:

• Financial statements: Shareholders will vote on receiving and approving the audited consolidated financial statements and the directors’ and auditors’ reports for the financial year ended 31 December 2025.

• Board composition: Resolutions call for the re-election of Executive Directors Ms. Zhang Yingzhao and Ms. Ren Song, and Independent Non-Executive Director Ms. Peng Xiaoliu.

• Remuneration: The board seeks authority to fix directors’ fees.

• Auditors: Prism Hong Kong Limited is nominated for re-appointment; the board will be authorised to set its remuneration.

• Share repurchase mandate: Directors request a general mandate to buy back up to 10% of the company’s issued shares during the mandate period, in line with Hong Kong listing rules.

• Share issuance mandate: Directors also seek authority to allot, issue or deal with shares—plus convertible instruments and treasury-share transfers—equal to up to 20% of the issued share capital.

• Extension mandate: Subject to the above approvals, the issuance limit may be increased by the number of shares actually repurchased, effectively expanding the available issuance headroom by up to an additional 10% of share capital.

Voting will be conducted by poll. Shareholders on the register as of 29 June 2026 are eligible to vote; the register will be closed from 24 June 2026 to 29 June 2026 inclusive. Proxy forms must reach Computershare Hong Kong Investor Services by 4:30 p.m. on 27 June 2026 (48 hours before the meeting).

Contingency plans are in place for adverse weather or “extreme conditions.” Physical attendance is optional; shareholders may appoint the meeting chair as proxy to vote on their behalf.
