MODERN CHI MED (Modern Chinese Medicine Group Co., Ltd.) plans to replace its existing second amended and restated Articles of Association with a third amended and restated version, subject to shareholder approval by special resolution at the forthcoming annual general meeting (AGM). The new Articles will become effective immediately after the AGM’s conclusion.
The proposed amendments focus on four areas:
1. Electronic communication – Authorises the company to deliver notices, documents and financial statements via email or website publication and to accept electronically executed proxies and instructions, provided reasonable authentication measures are met.
2. Hybrid or fully virtual meetings – Allows any general or class meeting to be conducted physically, in hybrid form or entirely online, including electronic attendance, participation and voting.
3. Digital payments – Permits electronic distribution of corporate action proceeds to shareholders and electronic collection of subscription monies.
4. Housekeeping changes – Updates wording to align with the latest Cayman Islands legislation, revised Hong Kong Listing Rules and international governance practices.
A circular outlining the full text of the proposed amendments and the notice of AGM will be sent to shareholders.
As of the 28 April 2026 announcement date, the board comprises three executive directors—Sun Xinlei, Zhang Hongli and Jia Yanru—and three independent non-executive directors—Liu Ling, Leung Tsz Wing and Wong Chi Kin.
