AustAsia Group Schedules 3 June 2026 AGM; Agenda Covers Director Re-election, Auditor Renewal and Share Mandates

The proxy circular indicates that AustAsia Group will convene its annual general meeting on 3 June 2026 at 4:30 p.m. (Hong Kong time) at 9/F, The Center, 99 Queen’s Road Central, Central, Hong Kong. Shareholders on record may appoint proxies no later than 1 June 2026 at 4:30 p.m. by submitting forms to Computershare Hong Kong Investor Services Limited.

Routine business resolutions include: 1) adoption of the audited financial statements and the directors’ and independent auditors’ reports for the year ended 31 December 2025; 2) re-election of directors YANG Ku, Gabriella SANTOSA and CHANG Pan, Peter; 3) authorisation for the board to set quarterly directors’ remuneration; and 4) re-appointment of Ernst & Young as external auditor together with authorisation for the board to fix its fee.

Special business items seek shareholder approval to: 5) grant a general mandate empowering the board to allot, issue and deal in additional shares; 6) grant a mandate to repurchase shares; and 7) extend the share-issuance mandate by the amount of shares repurchased under the preceding authority.

If owners attend the meeting in person after having lodged proxy forms, the previously submitted instruments will be automatically revoked. The company notes that all personal data provided for proxy appointments will be used solely for meeting-related administration and regulatory compliance.
