The race to build out AI infrastructure is heating up, with Qualcomm Inc (NASDAQ: QCOM) accelerating its expansion from chip hardware into full-stack AI capabilities. According to a report, the company is engaged in advanced acquisition discussions with AI infrastructure software firm Modular in a deal valued at approximately $4 billion. Sources familiar with the matter indicated that an agreement could be announced as soon as the coming weeks, though they requested anonymity as the information is private.
A successful acquisition would mark a significant move for Qualcomm in its efforts to compete with Nvidia in the AI arena. Shares of Qualcomm have risen 30% year-to-date, with particularly strong gains between April and May, as the market continues to respond positively to its AI strategy.
The sources added that a final agreement has not yet been reached and details could still change. A Qualcomm spokesperson declined to comment, and Modular could not be immediately reached for response.
Modular's Rapid Valuation Surge
Modular was co-founded in Silicon Valley in 2022 by Chris Lattner and Tim Davis, both former colleagues at Google. According to its website, the company was born from frustration with the "fragmented infrastructure for AI."
The firm completed a $250 million funding round last September at a $1.6 billion valuation, bringing its total funding to approximately $380 million. Its existing investors include DFJ Growth, Factory, General Catalyst, Google Ventures, Greylock Partners, and the US Innovative Technology Fund.
If the $4 billion deal is completed, it would represent a premium of roughly 150% over its latest valuation, highlighting the accelerated re-rating of companies in the AI infrastructure space.
Shifting Landscape and Strategic Premiums
These negotiations are unfolding against a backdrop of rapid change in the AI inference chip market. Recent reports indicate Nvidia secured assets from Groq via a $20 billion licensing agreement, while Intel Capital-backed SambaNova Systems has also completed a new funding round. These developments are prompting industry players to reassess the strategic value of startups within the broader AI ecosystem for larger players.
The intense competition to secure cutting-edge AI technology and talent is placing dual pressures on the valuations of companies like Modular—while market enthusiasm drives premiums, the fast-evolving inference chip landscape also introduces uncertainty.
Qualcomm's Acquisition Strategy to Bolster AI Stack
Qualcomm has been actively pursuing strategic acquisitions in recent years. A previous plan to acquire Dutch semiconductor company NXP Semiconductors ultimately failed to gain regulatory approval. Last year, the company completed the acquisition of London-listed semiconductor firm Alphawave IP Group Plc for approximately $2.4 billion in cash.
Should the Modular deal proceed, it would grant Qualcomm significantly enhanced AI capabilities at the software layer, aiding in the construction of a more complete product portfolio and helping to create differentiated advantages in its competition with Nvidia.
