TR Interiors Sets 21 Oct 2026 EGM to Approve 40-for-1 Share Consolidation

TR Interiors (China Tianrui Automotive Interiors Co., Ltd.; 06162) has called an Extraordinary General Meeting (EGM) for 21 October 2026 at 3:00 p.m. in Xi’an, Shaanxi Province. Shareholders will vote on a proposal to consolidate every 40 existing ordinary shares of HK$0.01 each into one consolidated share of HK$0.4 par value.

Key terms of the proposed Share Consolidation: • Conversion ratio: 40 existing shares to 1 consolidated share. • Post-consolidation share capital: Authorised capital remains at HK$100.00 million, re-denominated into 250.00 million consolidated shares at HK$0.4 each. • Fractional entitlements: Fractions will be disregarded, aggregated and, if feasible, sold for the benefit of the company. • Effective date: Second business day after shareholder approval and Listing Committee clearance for dealing in the consolidated shares.

Administrative details: • Register closure: 15 – 21 October 2026 (both dates inclusive); record date is 21 October 2026. • Proxy submissions: Due at Tricor Investor Services Limited no later than 48 hours before the EGM. • Voting method: Poll, in accordance with Hong Kong Listing Rule 13.39(4).

The board currently comprises six directors, including Executive Directors Zou Weidong and Zhang Jingrong, Non-executive Director Fan Haobing, and three Independent Non-executive Directors Zhu Hongqiang, Zhou Genshu and Chen Geng.
