China Merchants Securities Co., Ltd. (CMSC) has issued the official notice for its 2025 Annual General Meeting, scheduled for 10:00 a.m. on Friday, 26 June 2026 at the company’s headquarters in Shenzhen.
Key ordinary resolutions: • 2025 operating, independent director and annual reports will be tabled for shareholder acknowledgement. • A 2025 profit-distribution plan and an authorisation enabling interim distributions in 2026 will be put to vote. • The 2026 proprietary investment budget and appointment of auditors for 2026 require approval. • Six sub-items covering 2026 ordinary related-party transactions with China Merchants Bank, China Merchants Group, China COSCO Shipping, PICC Life Insurance, directors and senior management, and other related parties will be decided. • A guarantee authorisation for China Merchants Securities International and its wholly owned subsidiaries for 2026 and adoption of the Remuneration Management Rules are also on the agenda.
Special resolutions: • The board seeks a general mandate to issue additional shares. • A separate mandate would authorise issuance of domestic and overseas debt-financing instruments, covering size, tenor, type, pricing, guarantees, listing arrangements and repayment safeguards. • Amendments to both the Articles of Association and the Rules of Procedures for Shareholders’ Meetings will be proposed.
Board composition: • Two candidates—Mr. Tao Wu and Mr. Gao Hong—are nominated as non-executive directors for the eighth board session. These elections will be conducted under a cumulative voting system.
Shareholder logistics: • The H-share register closes from 23 June 2026 to 26 June 2026, inclusive. Transfer documents must reach Computershare Hong Kong Investor Services by 4:30 p.m. on 22 June 2026. • Proxy forms and supporting documentation must be deposited with Computershare no less than 24 hours before the meeting. • Voting on all resolutions will be by poll. Parties with material interests must abstain from voting on related-party transaction items as stipulated in the notice.
