LVJI TECH Plans Articles Overhaul to Enable Virtual and Hybrid Shareholder Meetings

Lvji Technology Holdings Inc. (LVJI TECH) announced that its board of directors resolved on 19 May 2026 to propose comprehensive amendments to the company’s existing Articles of Association.

Key changes include:

1. Alignment with the latest Hong Kong Listing Rules to permit the convening and holding of virtual or hybrid general meetings and electronic vote casting.

2. Updates to reflect current Cayman Islands legal requirements, alongside general “housekeeping” revisions.

The board intends to adopt an amended and restated Articles of Association incorporating all revisions, replacing the existing document in full. Implementation is contingent on shareholder approval via a special resolution at the forthcoming annual general meeting.

A circular detailing the proposed amendments and the notice of the AGM will be published and dispatched to shareholders in due course.

As of the announcement date, the board comprises three executive directors—Zang Weizhong (Chairman), Wang Lei and Liu Hui—and four independent non-executive directors—Gu Jianlu, Gu Ruizhen, Wu Qiang and Wang Lu.
