Hong Kong, 26 Aug 2026—China Resources Power Holdings Company Limited (China Resources Power) reported a broad reconfiguration of its board and committee structure, effective immediately.
Three Independent Non-Executive Directors (INEDs)—Ms. Leung Oi-sie, Elsie; Dr. Ch’ien Kuo Fung, Raymond; and Mr. So Chak Kwong, Jack—have resigned due to other work commitments. Their departures also vacate a series of key roles: • Ms. Leung: Chairman of the Remuneration Committee; member of the Audit and Risk Committee and the Nomination Committee. • Dr. Ch’ien: Member of the Sustainability, Audit and Risk, Nomination, and Remuneration Committees. • Mr. So: Chairman of the Sustainability Committee; member of the Audit and Risk Committee and the Nomination Committee.
Concurrent with these exits, Mr. Gao Jian, aged 46, has been appointed a Non-Executive Director (NED) and joins the Sustainability Committee. Gao, a long-time executive within China Resources Group since 2012, brings audit, supervision and gas-industry experience. He holds a Bachelor’s degree in Management from Southwestern University of Finance and Economics and is a certified Intermediate Accountant. Gao will serve without a fixed term and without a director’s fee, subject to re-election at the next annual general meeting.
Committee leadership realignment: 1. Sustainability Committee – New chairman: INED Mr. Chan Hak Kan; new members: INED Mr. Yang Yuchuan and NED Mr. Gao Jian. 2. Remuneration Committee – New chairman: INED Ms. Man Wing Yee, Ginny. 3. Audit and Risk Committee – INED Mr. Chan Hak Kan appointed as member. 4. Nomination Committee – INEDs Mr. Chan Yung and Ms. Man Wing Yee, Ginny appointed as members.
Following the changes, the Board now consists of: • 4 Executive Directors – Shi Baofeng (Chairman), Wang Bo, Song Kui, Hou Yongjie • 4 Non-Executive Directors – Zhou Bo, Li Chuanji, Zeng Jun, Gao Jian • 4 Independent Non-Executive Directors – Yang Yuchuan, Chan Hak Kan, Chan Yung, Man Wing Yee, Ginny
The company expressed appreciation to the departing directors for their contributions and extended a welcome to Gao Jian in his new role.
