Breton Technology Co., Ltd. (1333) Completes H Share Placing and Amends Articles of Association

Breton Technology Co., Ltd. (Stock Code: 1333) completed the placing of 10,000,000 new H shares under its general mandate on November 24, 2025. These newly issued H shares represent approximately 3.98% of its H shares in issue and 2.57% of its total shares after expansion. The placing price was HK$25.08 per H share, and the net proceeds reached about HK$240.0 million.

The shareholding structure changed accordingly, bringing the total number of issued shares from 379,651,762 to 389,651,762. None of the placees became a substantial shareholder of the company immediately after completion. The company’s registered capital now stands at RMB389,651,762, and the Articles of Association have been amended to reflect the updated share capital.

According to the breakdown, approximately 70% of the net proceeds is allocated to overseas photovoltaic and energy storage (“PV-storage”) projects, which have moved into the construction phase following feasibility studies, environmental assessments, and equipment procurement. Another 15% of the net proceeds will go toward repaying the company’s interest-bearing borrowings due in 2026, while the remaining 15% is earmarked for research and development of an advanced mining truck scheduling system driven by large-scale model technology.

These initiatives are part of Breton Technology’s broader efforts to strengthen its core operations, expand its integrated “electric equipment + integrated energy” business strategy in emerging markets, and refine its intelligent mining solutions.
