Samsonite Flags CEO Conflict of Interest in Proposed 2022 Share Award Scheme Amendments

Samsonite Group S.A. has informed shareholders that Chief Executive Officer Kyle Francis Gendreau holds a pecuniary interest in two proposals scheduled for the Annual General Meeting on 4 June 2026:

1. Amendments to the 2022 Share Award Scheme originally adopted on 21 December 2022. 2. The grant of restricted share units (RSUs) to Mr. Gendreau under the same scheme, which could result in the issuance of new shares upon vesting.

At the 19 March 2026 Board meeting, Mr. Gendreau declared his personal interests and recused himself from related deliberations and votes. The remaining directors, acting in accordance with Article 10.9 of the company’s articles of incorporation and Article 441-7 of Luxembourg’s commercial company law, recorded the conflict in the minutes and approved the aforementioned matters.

The disclosure, signed by Chairman Timothy Charles Parker, will be presented to shareholders as part of the formal agenda for the June meeting. No additional financial terms of the RSU grant or quantitative amendments to the share award scheme were provided in the report.
