BYD Electronic Fails to Meet First Unlocking Condition for 2025 Share Awards; 30% of Grants to Be Recovered

BYD Electronic (International) Company Limited announced on 27 March 2026 that the first unlocking condition under its 2025 Share Award Scheme was not achieved. As a result, 30% of the underlying shares granted to grantees on 9 July 2025—corresponding to the first unlocking period—will not vest.

The company will instruct the scheme trustee to reclaim the unvested shares at RMB0.00 for potential redistribution in future share-based incentive programmes.

The 2025 Share Award Scheme was adopted on 17 March 2025; this notice marks the first performance test under the plan. No changes to board composition accompanied the announcement.
