Cocoon Holdings will convene its annual general meeting on 15 June 2026 at 11:30 a.m. at Portion 2, 12/F, The Center, 99 Queen’s Road Central, Hong Kong. Key items to be put before shareholders are as follows:
• Financial Statements: Shareholders will be asked to receive and adopt the audited consolidated financial statements and the directors’ and auditor’s reports for the year ended 31 December 2025.
• Board Composition: – Re-election of Independent Non-Executive Director Ms. Leung Yin Ting. – Re-election of Executive Director Mr. Chau Wai Hing. – Authorisation for the board to fix directors’ remuneration for the year ending 31 December 2026.
• Auditor: McMillan Woods (Hong Kong) CPA Limited is nominated for re-appointment, with the board authorised to set its remuneration.
• Share Repurchase Mandate: Directors seek authority to repurchase up to 10% of issued shares during the mandate period, defined as the interval until the next AGM, the statutory deadline for that meeting, or revocation by shareholders—whichever occurs first.
• Issuance Mandate: The board requests a general mandate to allot and issue new shares up to 20% of the company’s issued share capital, excluding rights issues, employee share schemes, scrip dividends, and conversions of existing securities. The mandate would also cover the grant of options, warrants, bonds or debentures convertible into shares during the same period.
• Extension of Issuance Mandate: Subject to the above approvals, the issuance mandate may be extended by the number of shares repurchased under the 10% buyback authority.
Administrative details include a books-closure period from 10 to 15 June 2026, with 9 June 2026 set as the last day for lodging transfers to qualify for AGM attendance and voting. Proxy forms must be deposited with Computershare Hong Kong Investor Services not less than 48 hours before the meeting.
As of the notice date (24 April 2026), the board comprises two executive directors—Mr. Chau Wai Hing (Chairman) and Mr. Wu Ming Gai—and three independent non-executive directors—Ms. Leung Yin Ting, Dr. Wong Sze Lok and Ms. Lin Hsiu Mei.
