CROSSTEC lifts outstanding share count by 5.93 % after HKD 0.11 per-share bond conversion

On 20 July 2026, CROSSTEC Group Holdings Limited disclosed a Next Day Disclosure Return showing the allotment of 59.09 million new ordinary shares arising from the conversion of convertible notes issued under the MKI Subscription Agreement dated 2 June 2025.

The conversion, effected at HKD 0.11 per share, expands CROSSTEC’s issued share capital to 1.05 billion shares from 995.71 million, representing a 5.93 % increase. The transaction implies gross proceeds of approximately HKD 6.50 million.

No treasury shares were outstanding before or after the transaction, and the company reported no share repurchases or on-market sales of treasury shares for the period.

Management confirmed that the share issuance was duly authorised, all subscription monies were received, and all Hong Kong Stock Exchange and statutory compliance requirements have been met.
