A total of 67 employee participants were selected.
Key allocations • Executive director Dr. Frank Wu received 300,000 share options. • Executive director Mr. Wu Di was granted 150,000 share awards and 450,000 share options. • Sixty-five other employees received 2.67 million share awards and 1.69 million share options.
Terms of share awards • Grant price: nil consideration. • Reference price: HK$10.19 per H share (closing price on the grant date). • Vesting: 660,000 awards vest immediately; 400,000 vest after one year; the remaining 1.76 million vest 30%/30%/40% over years one to three, subject to performance appraisals. • Lapsed awards: unvested awards for which performance targets are not met will lapse automatically.
Terms of share options • Exercise price: HK$10.44 per H share, set above par, the grant-date close and the five-day average. • Vesting: 30% after one year, 30% after two years, and 40% after three years, subject to performance. • Exercise window: from each vesting date up to 24 July 2036. • Options lapse if performance hurdles are not achieved.
Claw-back provisions allow the company to cancel unexercised awards or reclaim shares/cash if grantees breach policies, are dismissed for cause, or if material misstatements emerge in financial statements.
Regulatory compliance The independent non-executive directors have reviewed and approved the grants to Dr. Frank Wu and Mr. Wu Di in line with Listing Rule 17.04(1). Aggregate awards to each of them remain below the 0.1% one-year limit, eliminating the need for shareholder approval under Rule 17.04(4).
Capacity under the scheme Post-grant, 35.53 million H shares remain available for future awards, including 4.08 million reserved for service providers.
Purpose Management states that the awards aim to recognise past contributions, align employee interests with shareholders, and support talent retention and long-term growth objectives.
