China Rongzhong Financial issues AGM circular: mandates for 10% buy-back, 20% new share issue and auditor re-appointment

China Rongzhong Financial Holdings Company Limited released its AGM circular dated 24 July 2026, detailing resolutions to be tabled on 9 September 2026 at 10:30 a.m. in Hong Kong.

Key proposals

1. Board composition • Re-election of three retiring directors: Executive Director and CEO Wong Emilie Hoi Yan, and Independent Non-executive Directors Lie Chi Wing and Ng Yuk Yeung Paul. • The nomination committee confirms both INEDs remain independent under Listing Rule 3.13.

2. Share mandates • Repurchase Mandate: authorises the Board to buy back up to 60.68 million shares, equivalent to 10% of the 606.80 million issued shares (Latest Practicable Date: 17 July 2026). • Issue Mandate: permits issuance of up to 121.36 million new shares (20% of issued share capital), with an additional extension equal to the number of shares that may be repurchased. • Both mandates are subject to shareholder approval and run until the next AGM or earlier revocation.

3. Auditor re-appointment • Moore CPA Limited proposed to continue as external auditor for the year ending 31 March 2027. • Estimated audit fee: HK$1.10 million–HK$1.20 million, excluding out-of-pocket expenses.

4. Shareholder logistics • Record date: 9 September 2026. Share register closure: 4 – 9 September 2026 (both days inclusive). • Proxy forms must be lodged by 10:30 a.m. on 7 September 2026.

5. Board recommendation The Board states that all resolutions—director re-elections, share mandates and auditor re-appointment—are in the best interests of the company and urges shareholders to vote in favour.
