Arrail Group delays FY 2025/26 annual results and FY 2025 interim results; trading to remain suspended pending investigation outcome

Arrail Group Limited on 30 June 2026 announced a further postponement in releasing its financial statements as it awaits completion of an independent investigation and related audit work. The company now expects to publish both its FY 2025 interim results (six months ended 30 September 2025) and its FY 2025/26 annual results (year ended 31 March 2026) in early September 2026, missing the Listing Rules deadlines of 30 June 2026 for annual results and 31 December 2025 for the interim report.

The delay stems from an investigation overseen by an Independent Investigation Committee, which concluded its fieldwork in late June. The final report is scheduled for submission to the committee by mid-August 2026. Arrail’s auditor, HLB Hodgson Impey Cheng Limited, must review the investigation findings before completing audit procedures on both the interim and annual financial statements. Until the report is available, the auditor cannot finalise its assessment of the Group’s financial statement presentation and disclosures.

Consequently, Arrail will also miss the 31 July 2026 deadline for dispatching its FY 2025/26 annual report, and the FY 2025 interim report remains outstanding. The Board considers it inappropriate to publish unaudited management accounts, citing the risk of providing potentially misleading information.

Trading in Arrail shares has been suspended since 1 December 2025 and will remain halted until the company fulfils the Hong Kong Stock Exchange’s resumption guidance, which includes the release of all outstanding financial information. The Board stated that the reporting delays are not expected to have a material impact on the Group’s underlying business operations. The company will issue further updates as material developments arise.
