On October 8, Guanghui Energy Co.,Ltd. (600256.SH) released its earnings pre-increase announcement for the first three quarters of 2026. The company expects net profit attributable to shareholders of 2.7 billion yuan to 2.8 billion yuan for the first three quarters, up 166.83% to 176.71% year-on-year. The earnings surge was mainly driven by the third quarter, with the company expecting net profit attributable to shareholders of 1.42 billion yuan to 1.52 billion yuan in Q3, up 795.08% to 858.12% year-on-year; non-recurring net profit of 1.405 billion yuan to 1.505 billion yuan, up 1,242.85% to 1,338.43% year-on-year. However, behind the impressive results, Guanghui Energy Co.,Ltd. still faces multiple risks. Currently, the company has issues including an excessively high pledge ratio of controlling shareholder equity and a massive scale of external guarantees, and has already begun compensating debts on behalf of an associate company. The intertwining of multiple risks has planted hidden dangers for the company's future stable operations. Renowned finance, tax and audit expert Liu Zhigeng told reporters that Guanghui Energy Co.,Ltd.'s earnings pre-increase this time has solid fundamentals, but potential risks need to be watched. The high pledge ratio of the controlling shareholder carries transmission risks of forced liquidation and unstable control, and large external guarantees and debt compensation matters will also form potential liabilities, requiring continuous tracking of subsequent risk resolution progress.
Significant Cyclical Fluctuations in Performance
It is understood that Guanghui Energy Co.,Ltd. was founded in 1994, listed on the Shanghai Stock Exchange in 2000, and transformed into a professional energy development enterprise in 2012. It is currently a private enterprise that simultaneously possesses "coal, oil, and gas" resources both domestically and internationally. Relying on these three resources, the company has built three major energy bases at home and abroad: the Hami Naomaohu coal and coal chemical base, the Qidong offshore comprehensive energy base, and the Central Asia oil and gas comprehensive development base.
Guanghui Energy Co.,Ltd. is a typical strongly cyclical resource-based enterprise, with its performance fluctuations highly dependent on commodity prices (coal, gas, oil). Its performance ups and downs are essentially a reflection of energy price cycles. In 2021 and 2022, the company was in an upward performance cycle. Global supply-demand tightness combined with geopolitical conflicts drove energy product volumes and prices higher, and Guanghui Energy Co.,Ltd. saw an earnings explosion. Especially in 2022, the company achieved full-year operating revenue of 59.409 billion yuan, up 138.93% year-on-year; and net profit attributable to shareholders of 11.338 billion yuan, up 126.61% year-on-year, creating the best operating performance in 22 years since listing. From 2023 to 2025, energy product supply and demand was relatively loose, coupled with falling prices, and Guanghui Energy Co.,Ltd.'s performance declined for three consecutive years. In 2025, performance hit bottom, with net profit attributable to shareholders dropping to 1.345 billion yuan. Entering 2026, Guanghui Energy Co.,Ltd.'s performance has somewhat recovered. Middle East geopolitical conflicts pushed up energy prices, and the company's coal and coal chemical segments improved profitability. In the first half of 2026, it achieved net profit attributable to shareholders of 1.278 billion yuan, up 49.81% year-on-year.
Regarding the significant Q3 earnings pre-increase, Guanghui Energy Co.,Ltd. explained that it was mainly because from January to September 2026, the domestic energy industry continued to recover, and the supply-demand pattern steadily improved. The company successfully completed the annual overhaul of coal chemical facilities in Q3. After the overhaul, operating conditions improved significantly, capacity was fully released, and main product output continued to rise in August and September, with rapid production-side recovery. At the same time, the company's main product sales price center shifted upward, and per-ton product net profit gradually recovered. Under the combined effect of product price increases and internal management efficiency improvements, the company's profit space continued to widen, and profitability and operating quality steadily improved.
High Pledge Pressure from Controlling Shareholder Looms
Beneath the surface of earnings recovery, the financial pressure on controlling shareholder Xinjiang Guanghui Industrial Investment (Group) Co., Ltd. (hereinafter "Guanghui Group") has become a potential risk hanging over Guanghui Energy Co.,Ltd. In the first quarter of this year, Guanghui Group's net profit turned negative and liquidity came under pressure. Its net profit for the period was -86.536 million yuan, and net cash flow from operating activities was only 75.1238 million yuan, with weak profitability and cash flow performance.
Equity pledge data better reflects its funding pressure. As of July 18, 2026, Guanghui Group held 20.39% of the company's shares. Among them, cumulative pledged shares totaled 1,006,865,737 shares (including 135,000,000 marked shares), accounting for 77.27% of its holdings in the company and 15.75% of the company's total share capital; cumulative frozen shares totaled 60,360,000 shares, accounting for 4.63% of its holdings in the company and 0.94% of the company's total share capital. Overall, Guanghui Group's cumulative pledged and frozen shares totaled 1,067,225,737 shares, accounting for 81.90% of its holdings in the company and 16.70% of the company's total share capital, with equity pledge and freeze ratios at high levels.
It is understood that the main use of funds raised from Guanghui Group's pledges is to supplement working capital, and the expected sources of repayment funds are self-owned funds, investment income and other income, bank loans, etc. What is alarming is that the group's short-term pledge debts are concentrated in maturity, with concentrated debt repayment pressure. Within the next year, maturing pledged shares total 705,940,000 shares, accounting for 54.17% of total holdings and 11.04% of the company's total share capital, corresponding to a financing balance of 2.0664 billion yuan.
To understand the specific debt repayment arrangements after Guanghui Group's approximately 2.066 billion yuan in pledge financing matures within the next year, reporters called the company's board secretary's office and sent interview questions to the company. As of press time, no reply had been received.
In addition, the controlling shareholder's external guarantee risk also cannot be ignored. As of the end of 2025, controlling shareholder Guanghui Group's guarantee balance for Guanghui Energy Co.,Ltd.'s operating needs was as high as 9.7549615 billion yuan. Against the backdrop of the controlling shareholder's own financial pressure and high equity pledge ratio, this large guarantee of nearly 9.755 billion yuan carries potential performance risk and may indirectly affect the operating stability of the listed company.
Crushed by Billions in Guarantees
Apart from controlling shareholder risks, Guanghui Energy Co.,Ltd.'s own massive external guarantee hidden dangers are equally prominent. As of August 31, 2026, Guanghui Energy Co.,Ltd.'s guarantee balance was approximately 10.714 billion yuan, accounting for 44.23% of the 2025 equity attributable to owners of the parent company. Among them, the guarantee balance provided to companies with an asset-liability ratio below 70% was 8.21 billion yuan; the guarantee balance provided to companies with an asset-liability ratio exceeding 70% was 2.504 billion yuan.
Liu Zhigeng believes that Guanghui Energy Co.,Ltd.'s large external guarantees can, on the one hand, play an operating support role, helping subsidiaries and others obtain low-cost financing and ensuring daily operations. On the other hand, the over-10-billion-yuan guarantee scale also carries potential risks. If the debt repayment ability of a small number of external guaranteed parties deteriorates subsequently, it could directly translate into real compensation pressure for the company, eroding cash flow and current profits.
The above risks have already turned from hidden dangers into reality. In August this year, Guanghui Energy Co.,Ltd. disclosed that it had completed cumulative guarantee compensation of 39.1952 million yuan (including 6.1082 million yuan in interest) for associate company Gansu Honghui Energy Chemical Co., Ltd. (hereinafter "Gansu Honghui"). It is understood that Gansu Honghui was established in 2014, with Guanghui Energy Co.,Ltd. and Jiuquan Iron and Steel (Group) Co., Ltd. each holding 50%. In the past two years, the associate company's performance has been lackluster, losing 903.9498 million yuan and 261.9877 million yuan in 2025 and the first half of 2026, respectively.
Guanghui Energy Co.,Ltd. pointed out that due to comprehensive factors including process technology transformation, large capital expenditure investment, and technical transformation efficiency not yet fully released, Gansu Honghui currently faces phased operating and cash flow pressure, causing it to confirm that it cannot fully repay some bank loans on schedule. What is noteworthy is that subsequent compensation risks will continue. From 2026 to 2030, Guanghui Energy Co.,Ltd.'s total unexpired guarantee amount for Gansu Honghui is 588.3895 million yuan, which is also the maximum compensation principal the company needs to bear. Combined with possible subsequent interest and other expenses, the company still faces continuous potential compensation pressure.
