FAR International Holdings Group Company Limited has released a revised form of proxy for the annual general meeting scheduled for 7 May 2026 at 2:00 p.m. in Hangzhou, PRC. Shareholders must lodge the new proxy with Computershare Hong Kong Investor Services Limited by 2:00 p.m. on 5 May 2026 to ensure validity.
Key resolutions tabled for shareholder approval include:
1. Financial Statements • Consideration of the audited consolidated results for the year ended 31 December 2025, together with the directors’ and auditor’s reports.
2. Board Composition and Remuneration • Re-election of six directors: executive directors Mr. Wang Quan, Mr. Zhang Guangyang, Mr. Shi Dite and Mr. Wang Tiantian; and non-executive directors Mr. Yao Shenjie and Ms. Yi Yun. • Authorisation for the board to set director remuneration.
3. Auditor • Re-appointment of SHINGWING (HK) CPA Limited and authorisation for the board to fix its fees.
4. Capital Mandates • General mandate to issue, allot or deal with additional shares up to 20% of the company’s issued share capital (excluding treasury shares). • General mandate to repurchase shares up to 10% of issued share capital (excluding treasury shares). • Extension of the issuance mandate by the number of shares repurchased under the buy-back mandate.
5. Constitutional Update • Approval of amendments to the existing Memorandum and Articles of Association and adoption of a second amended and restated version.
Shareholders who previously submitted the original proxy form dated 15 April 2026 should note that lodging the revised form supersedes prior instructions; late submissions after the 5 May deadline will render both proxy forms invalid, requiring in-person voting at the meeting.
