CHALIECO Schedules 2025 AGM for 30 June 2026, to Vote on Profit Distribution, Loss Coverage and Board Changes

China Aluminum International Engineering Corporation Limited (CHALIECO) has released the agenda for its 2025 Annual General Meeting, set for 9:30 a.m. on 30 June 2026 at the company’s Beijing headquarters (Conference Room 211, Building C, No. 99 Xingshikou Road, Haidian District).

Key matters to be decided under ordinary resolutions include:

• Board Work Report: Shareholders will review the directors’ 2025 performance report.

• 2025 Profit Distribution: A proposal on allocating 2025 earnings will be presented for approval.

• Loss Coverage: The meeting will consider a resolution acknowledging that unrecovered losses have reached one-third of total paid-in capital and determine the corresponding treatment plan.

• Debt Financing: Management seeks authority to issue onshore and offshore debt financing instruments.

• Directors’ & Senior Management Insurance: Approval for purchasing liability insurance.

• 2026 Director Remuneration: Ratification of remuneration standards for the next fiscal year.

• Remuneration Policy Update: Amendments to the company’s remuneration management measures for directors and senior executives.

• Auditor Re-appointment: Proposal to renew the engagement of the existing accounting firm.

• Board Elections: – Election of Mr Wang Dezhong as non-executive director for the fifth board session. – Election of Ms Hui Lai Kwan as independent non-executive director for the fifth board session. Voting on the two director appointments will adopt a cumulative voting method.

Additional agenda item: shareholders will hear the 2025 Annual Financial Report.

Shareholder logistics: • The H-share register will close from 24 June 2026 to 30 June 2026 (both days inclusive). • Holders of H shares recorded by the close of business on 24 June 2026 are entitled to attend and vote. • Proxy forms must reach Computershare Hong Kong Investor Services by 9:30 a.m. on 29 June 2026.

The AGM is expected to conclude within half a day; attendees bear their own travel and accommodation costs.
