Yangzijiang Financial issues introductory document and seals placement deal for YZJ Maritime spin-off

Yangzijiang Financial Holding Ltd. announced that its subsidiary, Yangzijiang Maritime Development Ltd. (YZJ Maritime), issued an introductory document on Oct, 31 2025 ahead of its planned listing by way of introduction on the Singapore Exchange’s Main Board.

YZJ Maritime also signed a management and placement agreement with SAC Capital Private Limited and China International Capital Corporation (Singapore) Pte. Limited to place up to 8.638 million new shares at S$0.60 each. The placement is expected to raise at least 5.2 million Singapore dollars in gross proceeds and about 2.8 million Singapore dollars in net proceeds, which will be used for working capital.

The placement shares account for roughly 0.25 % of YZJ Maritime’s enlarged share capital of about 3.489 billion shares and will rank pari passu with existing shares. The offering will be made to institutional and accredited investors under exemptions in Singapore’s Securities and Futures Act and is not underwritten.

Key dates include a books-closure date on Nov, 11 2025 and an expected start of trading for YZJ Maritime shares on Nov, 18 2025, subject to SGX approval. Yangzijiang Financial will update shareholders on any changes to the timetable.
